Terms of Service
SaaSical LLC DBA FoodieLot
Effective Date: October 18, 2026
I. General Terms (All Users)
1. Agreement to Terms
These Terms of Service (“Terms”) are a binding agreement between you and SaaSical LLC, doing business as FoodieLot (“FoodieLot,” “we,” “us,” “our”), governing your access to and use of foodielot.com and related services (the “Platform”). By accessing or using the Platform, or by clicking to accept, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform. Role-specific terms appear in Sections II–IV and apply in addition to these General Terms.
2. What FoodieLot Is (and Is Not)
FoodieLot is a discovery and scheduling software platform that helps Customers find food trucks and host locations, and helps Vendors and Hosts coordinate where and when trucks serve. FoodieLot is a technology provider only. We do not prepare, sell, handle, inspect, or deliver food; we are not a party to any transaction between a Customer and a Vendor; and we do not process payments between users other than the Platform payments described in Section 6 (spot rent collected from Vendors and paid out to Hosts, and FoodieLot's own fees). Customers pay Vendors directly at the point of service (at the truck). FoodieLot is not a restaurant, food vendor, caterer, broker, or insurer.
3. Eligibility
You must be at least 13 years old to browse the Platform, and at least 18 years old (and able to form a binding contract) to transact or to register a Vendor or Host account. By using the Platform you represent that you meet these requirements and that all information you provide is accurate.
4. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use. We may suspend or terminate accounts as described in Section 12.
5. Fees and Payment (Vendors and Hosts)
FoodieLot charges Vendors and Hosts fees to use the Platform, which may include spot-rental and booking fees, a FoodieLot service fee on each paid booking (charged to the Vendor and/or deducted from the Host's payout), "Find Me" stop listing fees, subscription-plan fees, and cancellation fees (Section 6). Fee amounts and structures are presented on the Platform before you pay or in a role agreement and may change on prospective notice. Fees are processed by our third-party payment processor, Stripe. You authorize us to charge your designated payment method for all applicable fees, including recurring subscription fees until you cancel.
Except as provided in Section 6 (cancellations and refunds), in a role agreement, or as required by law, fees are non-refundable. Subscription-plan fees are billed in advance and are not prorated; canceling a plan stops future billing at the end of the current period. Reschedule credit: A Vendor receives one (1) reschedule credit per calendar month, which may be applied toward rescheduling an existing spot booking only; reschedule credits have no cash value, are not refundable or transferable, and do not roll over.
6. Payments, Payouts and Cancellations
a. Payment processing. Spot-rental bookings, "Find Me" stop listings, subscription plans and other Platform fees are paid on the Platform and processed by Stripe, Inc. ("Stripe"). FoodieLot does not store full card numbers. By paying on the Platform you also agree to Stripe's terms and privacy policy. Prices and fees are shown before you pay. FoodieLot is the merchant of record for Platform payments: charges appear on your statement as "FOODIELOT", and FoodieLot (not the Host) is responsible to the paying Vendor or Host for refunds and chargebacks on those payments, as described in this Section.
b. Host payouts. When a Vendor pays for a spot at a Host location, FoodieLot collects the payment and pays the Host its share (the spot rent less FoodieLot's Host fee) through Stripe Connect. Hosts must complete Stripe onboarding, including identity and bank-account verification, before bookings at their locations can be paid. FoodieLot may withhold, delay or reverse a payout to resolve a dispute, chargeback, cancellation or suspected fraud. Payment timing to a Host's bank account is controlled by Stripe.
c. Vendor-initiated cancellation. A Vendor may cancel a paid booking before the booked date. On every Vendor cancellation FoodieLot retains a flat $5.00 cancellation fee, and the FoodieLot service fee paid on the booking is non-refundable. The Vendor chooses one of: (i) FoodieLot Credit equal to the total amount paid less the $5.00 cancellation fee; or (ii) a refund to the original payment method equal to the spot rent, less ten percent (10%) of the spot rent retained by the Host as a cancellation fee, less the $5.00 cancellation fee. Refunds are returned to the original payment method only and typically post within 5–10 business days.
d. Host- or FoodieLot-initiated cancellation. If a Host cancels a paid booking, or FoodieLot cancels it (for example because a location is closed, unsafe or non-compliant), the Vendor receives a full refund of all amounts paid, including fees, to the original payment method (or FoodieLot Credit if the Vendor requests it). The Host's payout for that booking is reversed in full. Repeated Host cancellations may result in suspension.
e. FoodieLot Credit. FoodieLot Credit is a promotional balance that may be applied only toward future paid bookings on the Platform by the Vendor account that received it. It has no cash value, is not redeemable for cash, is non-transferable, and is forfeited if the account is closed or terminated for breach. Credit is not a deposit and does not earn interest. FoodieLot may correct credit issued in error.
f. Unpaid and past bookings. A booking that has not been paid may be canceled at no charge. Bookings for dates that have passed cannot be canceled or refunded, except where FoodieLot determines a refund is appropriate.
g. Disputes and chargebacks. Contact [email protected] before disputing a charge with your card issuer; most problems can be resolved faster through a cancellation or refund under this Section. If a chargeback is filed, you authorize FoodieLot to respond to it and to share relevant records (booking details, receipts, check-in and serving status, messages, and account activity) with Stripe, the card networks and the issuing bank. If you file a chargeback for a booking, fee or plan that was provided as booked and the dispute is decided in FoodieLot's favor, or is later withdrawn, you remain liable for the amount. If a chargeback on such a charge is decided against FoodieLot, you agree to repay the disputed amount plus the dispute fee charged to FoodieLot (currently $15.00 per dispute), which FoodieLot may charge to your payment method on file or offset against FoodieLot Credit or future payouts. FoodieLot may suspend bookings and paid features on an account with an open or lost chargeback.
h. Payment support. FoodieLot is your first point of contact for all questions about Platform payments, refunds, payouts, chargebacks, and account verification ([email protected] or the in-app support ticket). We may explain our risk-management practices to you and ask you to take corrective steps (for example, updating verification details or resolving a pattern of cancellations or disputes).
6A. Acceptable Businesses; Review and Verification
Vendors and Hosts may use the Platform only for lawful food-truck and food-truck-hosting activities. You may not use the Platform, or accept or make Platform payments, for any business or product that is prohibited or restricted under Stripe's Restricted Businesses list (stripe.com/restricted-businesses) or by law, including (without limitation) the sale of marijuana/cannabis or CBD products where prohibited, tobacco or vape products, alcohol without the required licenses, weapons, adult content or services, gambling, or any illegal goods or services. FoodieLot reviews Vendor and Host accounts, listings, locations and documents, and may request additional information, require verification through Stripe, decline or delay onboarding, limit or suspend payouts, cancel and refund bookings, or close accounts that FoodieLot or Stripe reasonably believes are restricted, fraudulent, high-risk, or in violation of these Terms. You agree to provide accurate information and to cooperate promptly with such reviews.
7. User Content and Conduct
You retain ownership of content you submit (e.g., listings, menus, photos, reviews). You grant FoodieLot a non-exclusive, worldwide, royalty-free license to host, display, and use that content to operate and promote the Platform. You agree not to: violate any law; post false, infringing, or harmful content; interfere with the Platform’s operation; scrape or reverse-engineer the Platform; or use the Platform to harass or defraud others. We may remove content that violates these Terms.
8. Ratings, Reviews, and Listings
Ratings and reviews reflect user opinions, not FoodieLot’s. Listing information (schedules, locations, hours, menus) is provided by Vendors and Hosts; FoodieLot does not guarantee its accuracy, availability, or that any truck will appear as scheduled.
9. Intellectual Property
The Platform, including its software, design, and the FoodieLot marks, is owned by FoodieLot and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. All rights not expressly granted are reserved.
10. Disclaimers; No Verification of Vendors
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FoodieLot does not verify, endorse, or guarantee any Vendor, Host, user, listing, or the food or services offered. Although Vendors upload licenses, certifications, and insurance, FoodieLot does not verify, validate, or assume responsibility for any Vendor’s licensing, permits, insurance, food safety, food quality, or compliance with law. Any dealings, transactions, and the safety and quality of food are solely between Customers, Vendors, and Hosts, at their own risk. FoodieLot is not responsible for foodborne illness, allergic reactions, injury, or any harm arising from food or services offered through the Platform.
11. Limitation of Liability; Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOODIELOT AND SAASICAL LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FOOD-RELATED INJURY, ARISING FROM OR RELATED TO THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO FOODIELOT IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations; those limits apply to the extent permitted.
You agree to indemnify and hold harmless FoodieLot, SaaSical LLC, and their owners, officers, and employees from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your content, your food or services, or your violation of these Terms or any law.
12. Suspension and Termination
We may suspend or terminate your access at any time, with or without cause, including for violation of these Terms. You may stop using the Platform at any time. Fees already incurred remain payable. Sections that by their nature should survive (including 5, 9, 10, 11, 13, 14) survive termination.
13. Governing Law; Venue; No Class Actions
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws rules. You agree that any dispute will be brought exclusively in the state or federal courts located in Lauderdale County, Alabama, and you consent to their jurisdiction and venue. To the extent permitted by law, all disputes will be brought in an individual capacity only, and not as a plaintiff or class member in any class or representative action. The prevailing party in any action to enforce these Terms may recover reasonable attorneys’ fees and costs.
14. Changes; Miscellaneous
We may update these Terms; material changes take effect on posting with a new Effective Date, and your continued use constitutes acceptance. If any provision is unenforceable, the rest remains in effect. These Terms, with the Privacy Policy and any applicable role agreement, are the entire agreement between you and FoodieLot. You may not assign these Terms without our consent; we may assign them. Notices to you may be sent by email, SMS, or in-app; notices to us go to [email protected].
II. Customer Terms
- Customers use FoodieLot for discovery and scheduling only. You can search for trucks and host spots, follow trucks, save favorites, and receive notifications.
- You pay Vendors directly at the truck. FoodieLot does not process, collect, or refund payments for food. All food purchases, prices, refunds, and disputes are strictly between you and the Vendor.
- No guarantee of availability. Truck schedules and locations may change or be canceled without notice. FoodieLot is not responsible if a truck does not appear or sells out.
- Food risk. You are responsible for confirming ingredients and allergen information directly with the Vendor. See Section 10 — FoodieLot does not verify Vendors or their food.
- Notifications. By opting in, you may receive email, SMS, and push notifications about trucks and your account, subject to the Privacy Policy.
- Follower notifications. Following a truck means that vendor may send you follower notifications — including paid promotional messages such as booking announcements, “now serving” alerts, and specials — through the channels you have enabled. You can unfollow at any time, turn off promotional push in your settings, and every promotional email includes a link to stop promotional emails without affecting your follows or booking emails.
III. Vendor Terms
- Who is a Vendor. A Vendor is a food-truck operator that uses FoodieLot to list its truck, publish schedules, and book spots at Host locations.
- Fees. Vendors pay the spot rent set by the Host plus FoodieLot's service fee on each booking, any "Find Me" listing fees, and any subscription-plan fees they choose (General Terms §5). Cancellations are governed by General Terms §6: a $5.00 cancellation fee applies to every Vendor cancellation, the service fee is non-refundable, and the Vendor chooses FoodieLot Credit or a card refund less the Host's 10% cancellation fee. One reschedule credit per month (General Terms §5). Chargebacks are governed by General Terms §6(g), and permitted business types by §6A.
- Licensing and certifications. You must hold and maintain all licenses, permits, and certifications required to operate a food truck and sell food in your locations, and you must upload accurate, current copies when requested. FoodieLot does not verify these documents (General Terms §10).
- Insurance. You must obtain and maintain the commercial general liability insurance described in the Vendor Agreement and, when requested, upload a current certificate of insurance.
- Food safety and compliance. You are solely responsible for food safety, preparation, labeling, allergen disclosure, pricing, taxes, and compliance with all health and other laws.
- Bookings. You are responsible for showing up to booked spots. Spot rent is paid on the Platform through Stripe and FoodieLot pays the Host its share; do not pay Hosts off-Platform for Platform bookings (General Terms §6).
- Taxes. You are solely responsible for all taxes arising from your sales.
- Vendor Agreement. Your use as a Vendor is also governed by the FoodieLot Vendor Agreement, which controls if it conflicts with these Customer/General Terms on Vendor-specific matters.
IV. Host Terms
- Who is a Host. A Host is any business or person that makes a location available for food trucks to serve the public — typically businesses, event operators, or fixed locations (e.g., fuel stations, parking areas, or venues).
- Fees and payouts. FoodieLot deducts its Host fee from each paid booking before paying out the remainder to the Host through Stripe Connect; Hosts may also choose paid subscription plans (General Terms §5–6). Fees are non-refundable except as stated in General Terms §6.
- Your location. You represent that you have the right to allow food trucks to operate at your location and that doing so complies with your leases, zoning, insurance, and local law. You are responsible for the safety and legal condition of your site.
- Vendor arrangements and cancellations. Vendors pay spot rent on the Platform; you must complete Stripe Connect onboarding to receive payouts. If a Vendor cancels a paid booking you keep 10% of the spot rent as a cancellation fee and the rest of your payout for that booking is reversed. If you cancel a paid booking the Vendor is refunded in full and your payout for that booking is reversed in full (General Terms §6).
- Verification, restricted businesses and payout support. Hosts are reviewed by FoodieLot and verified by Stripe before receiving payouts, must not operate a restricted business (General Terms §6A), manage their payout account through the Stripe Express Dashboard linked from the Platform, and contact FoodieLot (not Stripe) for payout, verification and chargeback support. FoodieLot handles chargebacks on bookings at your location; you agree to provide requested evidence promptly, and FoodieLot may recover your share of a booking lost to a chargeback caused by your location being unavailable, misrepresented, or not provided as booked (Host Agreement §5A).
- No FoodieLot responsibility for events on site. FoodieLot is not responsible for anything that occurs at your location, including personal injury, property damage, or food-related harm.
- Seasonal Event Host pass. The Seasonal Event Host plan is a one-time, non-refundable charge that entitles the Host to run one (1) event. The pass is valid for one hundred twenty (120) days from purchase. If the event is not hosted within that 120-day period, the pass expires and the amount paid is forfeited in full, with no refund, credit, or transfer. Once the single event has been hosted, or upon expiration, the Host account automatically returns to the Free to List plan. This is an express exception under General Terms §5.
- Host Agreement. Your use as a Host is also governed by the FoodieLot Host Agreement, which controls if it conflicts with these General Terms on Host-specific matters.
